3. Client Responsibilities:
Accurate Information: Clients are responsible for providing accurate and complete information necessary for us to perform our services. Failure to do so may result in delays or issues with service delivery. Compliance with Laws: Clients agree to comply with all relevant local, state, and federal laws and regulations, including those related to employment, privacy, and labor. Payment: Clients agree to pay all fees associated with the services provided by Evolveit, as detailed in the contract or agreement. Payment terms, including due dates and methods, will be outlined in the relevant agreement.

4. Intellectual Property: All content, including text, graphics, logos, and software used on our website and in the delivery of our services, is the property of Evolveit or its content suppliers and is protected by copyright and intellectual property laws. You may not reproduce, distribute, or use any of our content without express written permission.

5. Confidentiality: Both Evolveit and its clients agree to maintain the confidentiality of all proprietary or sensitive information exchanged during the course of providing services. This includes but is not limited to business data, employee information, and other confidential materials. Confidentiality obligations remain in effect even after termination of services.

Limitation of Liability Evolveit will not be held liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits or data, resulting from the use or inability to use our services. Our total liability is limited to the amount paid by the client for the specific service in question, not exceeding the value of the contract.

7. Indemnification: Clients agree to indemnify and hold harmless Evolveit, its employees, agents, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising out of or in connection with their use of our services, violation of these Terms, or infringement of any rights of third parties.

8. Payment Terms: Payment terms and rates for services will be outlined in individual agreements with clients. All payments must be made in the manner specified in the contract, and late payments may result in penalties or suspension of services.

9. Termination: Either party may terminate the agreement by providing written notice to the other party. Upon termination, the client agrees to pay for all services rendered up to the termination date. Evolveit reserves the right to terminate or suspend services immediately in the event of a breach of these Terms and Conditions by the client.

10. Force Majeure: Evolveit will not be held responsible for delays or failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, strikes, supply chain disruptions, or other events that prevent the fulfillment of our services.

11. Governing Law: These Terms and Conditions are governed by the laws of the state of Georgia, USA. Any disputes arising out of or in connection with these Terms shall be resolved in the courts located in Cumming, Georgia.

12. Changes to Terms: Evolveit reserves the right to modify or update these Terms and Conditions at any time. Any changes will be posted on our website, and the updated version will take effect immediately upon publication. Clients are encouraged to review these Terms periodically.
